NOTICE OF THE FIRST AGM OF THE NEW COMPANY: 

WEDNESDAY 8th AUGUST 2012 AT 7.30PM  IN THE VILLAGE HALL

The Muir of Ord Village Hall & Facilities Company (a Company Limited by Guarantee) has been established to take ownership of the village hall which has now been transferred to community ownership from the Highland Council.  The new company will also take ownership and responsibility for the Old Tarradale School building should the community's request for transfer to community ownership be successful. It will also be the vehicle for further community led development.

The purposes of the new company are:

ñ To manage the Muir of Ord Village Hall and any other facilities for the benefit of the community and the public in general.

ñ To provide, or assist in providing, recreational facilities, and/or organising recreational activities which will be available to members of the community and the public at large.

ñ To advance community development including urban and rural regeneration within the community.

This form of organisation provides greater protection for  both members and directors should the company run into difficulties.   Many funding organisations such as the Big Lottery Fund will only accept applications for funding from companies limited by guarantee.

Although the decision to establish the new company was taken by the Muir of Ord Community Association on the basis of legal advice from the Association's solicitors, the new company has no legal link with the Association and is a new and completely independent organisation with it's own membership and board of directors.

Membership of the company is open to:

Ordinary membership of the new company is open to residents aged 18 and over who are resident in the local community defined by the Tarradale School and Mulbuie School catchment areas.

Associate Members individuals who are not ordinarily resident in the community and those organisations wherever located that the support the company's purposes.

Junior Members those individuals aged between 12 and 17 who support the purposes.

Associate Members and Junior Members and neither eligible to stand for election to the Board nor to vote at any General Meeting.

Only persons on the Company's register of members can attend the AGM.

Please consider becoming a member of the new company and coming along to the  first Annual General Meeting.   You can download a membership form from the Muir of Ord website or you may be asked to complete a form by a representative of one of the local groups supporting the establishment of the new company.  All members will receive a copy of the Company's Articles of Association - the 'rules' about how the Company will operate to meet legal requirements.
